1. INTRODUCTION AND ACCEPTANCE

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Miracle-Minded SA de CV ("Company," "we," "us," or "our"), a company organized under the laws of Mexico, governing your access to and use of the Psychi mobile application ("App") and all related services.

Note for Teachers: If you are applying to or participating in the Teacher Program, you must also agree to the separate Teacher Agreement, which governs your provision of services and content through the Platform.

By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the App.

2. ELIGIBILITY

2.1 Age Requirement

You must be at least thirteen (13) years of age to create an account and use the App. By using the App, you represent and warrant that you meet this age requirement.

2.2 Parental Consent

If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2.3 Account Registration

Use of the App requires the creation of a user account. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

3. DESCRIPTION OF SERVICES

3.1 App Purpose

Psychi is a spiritual growth and personal transformation application based on the principles of A Course in Miracles (ACIM), A Course of Love (ACOL), Taoism, and Kriya Yoga. The App provides:

• Daily morning and evening practice sessions (5-10 minutes each)
• AI-powered guidance and personalized recommendations
• Journaling with intelligent prompts and categorization
• 365 ACIM Workbook lessons
• Optional practice modes (Meditation, Lucid Dreaming, Kriya Yoga, Salah, Presence Process)
• Access to curated spiritual reading materials
• Community features and study groups
• Access to Teacher-created content channels and courses
• Ability to book videoconference sessions with Teachers

3.2 AI-Powered Features

The App utilizes artificial intelligence to provide personalized guidance, recommendations, and insights based on your journal entries, practice patterns, and personal data. AI recommendations incorporate psychological best practices and ACIM principles.

3.3 Website Integration

Certain features, including all payment transactions, are processed through the PsyChi website (psychi.ai). When accessing these features, you will be redirected from the mobile app to the website and notified that you are leaving the app environment.

4. IMPORTANT DISCLAIMERS

4.1 Not Professional Mental Health Care

PSYCHI IS A WELLNESS AND SPIRITUAL GROWTH APPLICATION AND IS NOT A SUBSTITUTE FOR PROFESSIONAL MENTAL HEALTH CARE, THERAPY, COUNSELING, OR MEDICAL TREATMENT.

The App does not provide medical diagnoses, treatment plans, or professional psychological services. If you are experiencing a mental health crisis, suicidal thoughts, or any medical emergency, please contact emergency services or a qualified mental health professional immediately.

4.2 No Guarantees

While the App aims to support your spiritual growth and well-being, we make no guarantees regarding specific outcomes, healing results, or transformation timelines. Individual results vary based on personal commitment and circumstances.

4.3 Educational Content

All content provided through the App, including AI-generated recommendations and Teacher-provided materials, is for educational and informational purposes only.

4.4 Teacher Services Disclaimer

Teachers are independent contractors, not employees or representatives of PsyChi. The Company does not:

• Endorse, verify, or guarantee the accuracy, quality, or effectiveness of Teacher content or services
• Control Teachers' methods, credentials, or qualifications
• Assume liability for Teacher conduct or services
• Guarantee specific outcomes from Teacher content or videoconference sessions

You engage with Teacher content and services at your own discretion and risk. You are responsible for evaluating Teacher qualifications and suitability for your needs.

4.5 Not a Substitute for Professional Services

Teacher services, including videoconference sessions, are for educational and spiritual guidance purposes only. They are NOT:

• Psychotherapy or counseling
• Medical or psychiatric treatment
• Legal, financial, or professional advice
• A substitute for licensed professional services

5. SUBSCRIPTION PLANS AND PRICING

5.1 Available Plans

The App offers the following subscription options:

5.2 What's Included in Your Subscription

All subscription plans include:

• Daily practice sessions and AI guidance
• 365 ACIM Workbook lessons
• Journaling with AI prompts
• Community features
• Access to curated reading materials
• All practice modes

Not included: Teacher Channel access fees and videoconference sessions are purchased separately.

5.3 Referral Discounts

If you subscribe using a Teacher's referral code, you receive a 10% discount on your subscription.

5.4 Payment Processing

All payments are processed through the PsyChi website (psychi.ai), not within the mobile app. When you initiate a subscription purchase or any other transaction, you will be redirected from the App to the website to complete payment. You will be notified before leaving the app environment.

Payments are processed through Stripe and PayPal via our website. By subscribing, you authorize us to charge your selected payment method for the applicable fees.

5.5 Automatic Renewal

Monthly and Annual subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You may cancel at any time through your account settings on the website.

5.6 Price Changes

We reserve the right to modify subscription prices. Existing subscribers will be notified at least 30 days before any price increase takes effect on their account.

6. TEACHER SERVICES AND ADDITIONAL PURCHASES

6.1 Teacher Channels

Teachers may offer content channels featuring videos, courses, and educational materials.

Channel Purchases:

• Teachers set their own one-time access fees
• Payment grants you lifetime access to that Teacher's entire channel
• New content added by the Teacher becomes automatically available to you
• All purchases are processed through psychi.ai website
• Teachers may remove their content at any time (see Section 6.6)

6.2 Videoconference Sessions

Teachers may offer one-on-one or group videoconference sessions.

Session Bookings:

• Teachers set their own hourly rates and availability
• You book and pay through the psychi.ai website
• Sessions are conducted through Platform-provided video technology
• Sessions may be recorded with your consent
• AI automatically generates transcripts, summaries, and personalized tips for your benefit
• Recordings are stored in your private playlist unless you delete them

6.3 Content Language Options

Teacher content is automatically translated into seven languages (English, Spanish, Portuguese, German, Dutch, French, Italian) using AI technology. You can select your preferred language for viewing.

6.4 Privacy and Data Sharing with Teachers

What Teachers Can See:

• Your name and contact information (only for booked videoconference sessions)
• Session transcripts and recordings (only for sessions you attend with that specific Teacher)
• Information you voluntarily share during sessions

What Teachers Cannot See:

• Your journal entries
• Your daily practice history
• Your intake assessment responses
• Your interactions with other Teachers
• Any personal App data you don't explicitly share

6.5 Your Responsibilities

When interacting with Teachers, you agree to:

• Treat Teachers with respect and professionalism
• Honor booked appointments or provide reasonable cancellation notice
• Understand that Teachers control their own pricing and availability
• Not record sessions without the Teacher's consent
• Not share session recordings publicly without the Teacher's consent

6.6 Teacher Content Removal

Teachers may remove their content from the Platform at any time. If a Teacher removes content:

• You will lose access to that content
• You are not entitled to a refund (see Section 7)
• PsyChi is not liable for content removal by Teachers

6.7 Teacher Program Information

If you are interested in becoming a Teacher, contact us through the App or visit psychi.ai. Teachers must enter into a separate Teacher Agreement that governs content creation, revenue sharing, and professional obligations.

7. REFUND POLICY

ALL PURCHASES ARE FINAL AND NON-REFUNDABLE.

Due to the immediate access granted to digital content and services upon purchase, we do not offer refunds for:

• Monthly subscriptions
• Annual subscriptions
• Lifetime access purchases
• Teacher channel access fees
• Videoconference sessions with Teachers
• Partial billing periods
• Content that is later removed by Teachers

Exceptions: Refunds may be issued at our sole discretion in cases of:

• Documented technical failures preventing access
• Billing errors or unauthorized charges
• Other exceptional circumstances

By making a purchase, you acknowledge and accept this no-refund policy.

8. USER CONTENT AND INTELLECTUAL PROPERTY

8.1 Ownership of Your Content

All content you create, upload, or input into the App—including but not limited to journal entries, responses, notes, and any other user-generated material—becomes the property of Miracle-Minded SA de CV.

By using the App, you irrevocably assign and transfer to the Company all rights, title, and interest in any content you create within the App, including all intellectual property rights therein.

8.2 License Grant

To the extent any rights are not effectively transferred under Section 8.1, you grant the Company a perpetual, worldwide, royalty-free, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for any purpose related to operating and improving the App.

8.3 Teacher Content

Content created and uploaded by Teachers (videos, courses, written materials) remains the intellectual property of the respective Teacher. You receive a limited, non-exclusive, non-transferable license to access purchased Teacher content for your personal, non-commercial use only.

You may NOT:

• Copy, download, or redistribute Teacher content
• Share your access credentials with others
• Use Teacher content for commercial purposes
• Record or screenshot Teacher content without permission

8.4 Company Intellectual Property

The App, including its design, features, content, software, trademarks (including "Psychi"), logos, AI technology, and all related intellectual property, are owned by or licensed to Miracle-Minded SA de CV and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our express written consent.

9. DATA AND PRIVACY

9.1 Data Collection

We collect and process personal data as necessary to provide the App's services, including:

• Account information (name, email, password)
• Journal entries (text only; voice recordings are transcribed and immediately discarded)
• Usage patterns and practice history
• Device and technical information
• Payment information (processed by third-party payment processors through our website)

9.2 Voice Processing

We do NOT store voice recordings. Audio inputs are transcribed to text in real-time using AI technology, and only the transcribed text is stored. Original voice recordings are not retained on our servers.

9.3 Videoconference Sessions

If you participate in videoconference sessions with Teachers:

• Sessions may be recorded with your explicit consent
• AI automatically generates transcripts and summaries
• Recordings are stored in your private playlist
• Teachers have access to recordings of their own sessions with you
• You may delete recordings at any time

9.4 Data Retention

Your personal data and content are retained until you delete your account. Upon account deletion, all associated data will be permanently removed from our systems within 30 days.

9.5 Account Deletion

You may delete your account at any time through the App settings. Account deletion is permanent and results in the irreversible loss of all your data, progress, content, and purchased access to Teacher channels.

9.6 Data Export

Data export functionality is not currently available. This feature may be added in future updates.

9.7 Privacy Policy

For complete information about how we collect, use, and protect your data, please review our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

9.8 Third-Party Services

The App uses the following third-party services:

• AI Processing Providers: Various AI models for speech-to-text, text analysis, and personalized recommendations
• Analytics: Google Analytics and Google Tag Manager for usage analytics and app improvement
• Payment Processors: Stripe and PayPal for payment processing through psychi.ai website
• Video Services: Third-party platforms for videoconferencing and content delivery

These third parties have their own privacy policies governing their use of your data.

10. USER CONDUCT

10.1 Prohibited Activities

You agree NOT to:

• Use the App for any unlawful purpose
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's functionality
• Reverse engineer, decompile, or disassemble any part of the App
• Use automated systems (bots, scrapers) to access the App
• Share your account credentials with others
• Impersonate any person or entity
• Upload malicious code or content
• Circumvent payment systems
• Harass, abuse, or harm other users or Teachers
• Record or redistribute Teacher content without permission
• Use the App to compete with PsyChi or recruit users to other platforms

10.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

10.3 Respectful Interaction

You agree to treat Teachers, other users, and Company staff with respect and professionalism in all interactions.

11. TERMINATION

11.1 Termination by User

You may terminate your account at any time by deleting your account through the App settings or by contacting us. No refunds will be provided for unused subscription time or purchased Teacher content.

11.2 Termination by Company

We reserve the right to suspend or terminate your account immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Harassment or abuse of Teachers or other users
• Any conduct we deem harmful to Teachers, other users, or the App

11.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. You lose access to:

• All App features and content
• Your journal entries and practice history
• Purchased Teacher channel access
• Videoconference recordings
• All other account data

Sections 7, 8, 12, 13, and 14 survive termination.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

The Company, its directors, employees, partners, agents, affiliates, and Teachers shall NOT be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the App
• Damages resulting from any content or conduct of Teachers or third parties
• Teacher content removal or unavailability
• Technical failures, including AI translation errors or service interruptions
• Videoconference session quality or technical issues
• Any matter beyond our reasonable control

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Miracle-Minded SA de CV and its officers, directors, employees, agents, and Teachers from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the App
• Your interactions with Teachers or other users

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Mexico, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts located in Mexico City, Mexico.

14.3 Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us to attempt to resolve the dispute informally.

15. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms within the App. Your continued use of the App after changes constitutes acceptance of the modified Terms.

We will notify users of material changes via email or in-app notification at least 14 days before such changes take effect.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the App and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.

16.5 Language

These Terms may be provided in multiple languages. In case of discrepancy, the Spanish version shall prevail for users in Mexico, and the English version shall prevail for all other users.

BY USING PSYCHI, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
